Prepaid fee allocation, cancellation, refund, expiration and renewal terms for Firm Hill memberships.

Effective: October 27, 2026

Prepaid Membership Fee Allocation, Cancellation, Refund & Renewal Policy

1.Purpose and Scope

This Policy governs the payment, allocation, cancellation, refund, expiration, and renewal of prepaid memberships offered by Firm Hill Cardiometabolic Center ("Firm Hill" or "the Practice").

It applies to:

  • Metabolic Health Membership
  • Comprehensive Weight Management Membership

Each membership is a fixed-term arrangement for the clinical services and support expressly described in the applicable signed membership agreement.

The membership agreement, its service description, the approved fee allocation schedule, and this Policy collectively establish the applicable financial terms.

Chronic Disease Management self-pay consultations are billed separately at $250 per consultation, as a one-time payment, and do not establish a fixed-term membership.

2.Membership Payment Structure

Firm Hill offers membership terms of six (6), nine (9), and twelve (12) months.

The full membership fee is payable in advance as a single payment. No automatic recurring charges or automatic renewals are authorized.

Payment alone does not establish that all contracted services have been delivered or that all prepaid fees have been earned.

The membership term shall begin on the documented membership activation date agreed to by the patient and Firm Hill, rather than automatically on the date payment is collected.

The Practice shall disclose the activation date and membership expiration date in the patient's enrollment confirmation.

3.Approved Membership Fee Allocation Schedules

Metabolic Health Membership — the first month is allocated $325; each subsequent month is allocated $275.

  • 6 months: $325 first month + 5 × $275 = $1,700 total prepaid fee
  • 9 months: $325 first month + 8 × $275 = $2,525 total prepaid fee
  • 12 months: $325 first month + 11 × $275 = $3,350 total prepaid fee

Comprehensive Weight Management Membership — the first month is allocated $425; each subsequent month is allocated $325.

  • 6 months: $425 first month + 5 × $325 = $2,050 total prepaid fee
  • 9 months: $425 first month + 8 × $325 = $3,025 total prepaid fee
  • 12 months: $425 first month + 11 × $325 = $4,000 total prepaid fee

These allocations represent the proposed contractual value of each membership service period.

The first-month allocation covers the initial evaluation and other specifically identified first-month services. Subsequent monthly allocations cover the specifically identified follow-up care and ongoing clinical support included in the applicable membership.

The allocation does not establish that a fee has been earned merely because a calendar month has passed. The Practice must fulfill its corresponding contractual obligations.

The included services, expected visit frequency or availability, support limitations, and exclusions must be described separately and disclosed before enrollment.

4.Prepaid Fees and Recognition of Earned Services

Firm Hill shall maintain records identifying the portion of each prepaid membership fee attributable to completed services and the portion attributable to future services.

A fee allocated to a discrete clinical service is earned when that service has been delivered.

A fee allocated to an ongoing service period may be earned as the specifically contracted services or availability obligations are fulfilled.

If the Practice has not fulfilled its obligations for a service period, the corresponding amount shall not automatically be treated as fully earned.

The Practice shall not retroactively increase the value of completed services, substitute undisclosed standalone consultation prices, or impose new administrative deductions to reduce a refund.

5.Membership Expiration and Renewal

Memberships expire automatically at the end of the selected six-, nine-, or twelve-month term.

Firm Hill may send a renewal invitation approximately thirty (30) days before expiration.

Renewal requires the patient's separate affirmative agreement to the applicable terms and payment authorization.

No membership shall renew automatically, and no additional membership payment shall be charged without authorization.

6.Patient-Initiated Cancellation

A patient may voluntarily terminate their membership at any time by submitting written notice to Firm Hill Cardiometabolic Center.

Because membership fees are paid upfront for a fixed contractual term, voluntary cancellation by the patient does not entitle the patient to a refund of prepaid membership fees, except where a refund is required by applicable law or expressly authorized under this Agreement.

No additional early termination penalty shall be imposed.

This provision does not apply where Firm Hill materially fails to provide contracted services, where termination results from circumstances attributable to the Practice, or where applicable law requires a refund.

Nothing in this provision waives nonwaivable patient rights or authorizes unlawful retention of prepaid fees.

7.Practice-Initiated Termination or Inability to Provide Services

Firm Hill may terminate a membership for lawful reasons, including circumstances in which continued care is clinically inappropriate, the patient is no longer eligible for the offered services, or the Practice is unable to continue delivering the contracted program.

Termination shall be managed in accordance with applicable professional obligations, including appropriate notice, continuity-of-care considerations, and access to medical records.

If Firm Hill permanently discontinues the contracted services or terminates the membership before the agreed expiration date, the Practice shall refund the unearned prepaid balance attributable to undelivered services.

The Practice shall not impose a cancellation penalty or retain payment for services it is unable to provide.

8.Refund Calculation

Unless applicable law requires a different method, the refund shall be calculated as:

Refund = Total Prepaid Membership Fee − Earned Value of Contracted Services − Previous Refunds

The refundable amount shall not be less than zero.

The earned value shall be determined using the allocation schedule accepted at enrollment and documented performance of the corresponding services.

For a partial month, Firm Hill shall calculate the earned amount using the documented services provided and contractual availability obligations fulfilled. The Practice shall not automatically charge for an entire month when its corresponding obligations were not fulfilled.

Refund calculations shall be documented and made available to the patient upon request.

9.Refund Processing

Firm Hill shall review a cancellation request and provide a written determination and financial reconciliation within ten (10) business days, unless a shorter period is required by applicable law.

Where a refund is owed, the Practice shall initiate the refund within fifteen (15) calendar days after determining the amount due, or sooner if required by law.

Refunds shall ordinarily be issued to the original payment method where reasonably available and permitted by the payment processor.

Processing time after initiation may vary by financial institution.

A disputed refund may be reviewed by an authorized Practice representative. This internal review shall not limit any legal remedy available to the patient.

10.Financial Recordkeeping

Firm Hill shall maintain appropriate records of prepaid fees, completed services, membership dates, cancellation requests, refund calculations, and payment transactions.

The Practice shall use reasonable administrative safeguards to prevent duplicate refunds, unauthorized financial adjustments, and retroactive modification of accepted contractual terms.

The applicable allocation schedule shall remain associated with the original patient agreement even if the Practice subsequently changes its published prices.

11.Governing Law and Severability

This Policy shall be interpreted in accordance with applicable federal law and the laws of the State of Texas.

Nothing in this Policy waives nonwaivable patient rights or authorizes the retention of funds in violation of applicable law.

If any provision is determined to be unenforceable, the remaining provisions shall remain effective to the extent permitted by law.

12.Approval and Implementation

This Policy shall not become effective until reviewed and approved by an authorized Practice representative following appropriate legal review.

Material changes will apply prospectively, unless otherwise lawfully agreed upon by the affected patient.

13.Memberships Are Not Insurance

Firm Hill membership programs are not health insurance and do not replace health insurance coverage.

Membership benefits are limited to the services expressly identified in the applicable agreement.

The membership does not guarantee coverage for emergency services, hospital care, outside specialist services, laboratory services, imaging, medications, or other services unless specifically included in writing.

Firm Hill shall comply with applicable prohibitions against billing an insurer for services already compensated under a direct patient care agreement.

14.Clinical Independence and Patient Rights

Membership payment does not guarantee a prescription, medication, diagnosis, treatment outcome, or specific clinical intervention.

All clinical decisions remain subject to professional judgment, applicable law, and the patient's individual medical circumstances.

Termination or expiration of membership does not eliminate a patient's legally protected rights concerning medical records, confidentiality, or appropriate continuity of care.

Nothing in this Policy shall require a physician to provide clinically inappropriate treatment.

15.Patient Disclosure and Acceptance

Before payment, Firm Hill shall provide the patient with:

  • The selected membership program and duration.
  • The total upfront membership fee.
  • The applicable monthly fee allocation schedule.
  • A description of included and excluded services.
  • The membership activation and expiration terms.
  • The cancellation and refund provisions.
  • The statement that membership is not insurance.
  • The policy version and effective date.

The patient shall affirmatively acknowledge and accept the applicable terms before completing checkout.

Firm Hill shall retain an auditable record of the patient's acceptance and the exact policy and allocation schedule presented at enrollment.

16.Appointment Scheduling Requirements

Patients are expected to schedule their initial membership consultation within fifteen (15) calendar days of the membership Effective Date and subsequent follow-up consultations within fifteen (15) calendar days following their most recently completed visit.

Patients are responsible for making reasonable efforts to schedule appointments within these periods.

Appointments remain subject to physician availability, clinical appropriateness, and the practice's scheduling policies.

Unused visits ordinarily do not roll over into subsequent membership periods or extend the membership term.

Any forfeiture of a scheduled benefit will be considered only under the final approved policy, with appropriate exceptions for circumstances outside the patient's reasonable control and applicable legal requirements.

The practice will make reasonable efforts to facilitate continuity of medically necessary care.
